An SME IPO on BSE SME or NSE Emerge in India costs between ₹50 lakh and ₹1.5 crore in total professional fees and regulatory expenses, depending on the issue size, the number of selling shareholders, and the choice of merchant banker and legal advisors. For a typical ₹15-25 crore SME IPO, the all-in cost including all professional fees, regulatory charges, marketing, and listing expenses runs at approximately 4-8% of the issue size. This percentage is significantly higher than mainboard IPO costs — reflecting the smaller issue size over which fixed professional fees are distributed — and must be factored into the net proceeds calculation from the outset.
Promoters who discover the full cost of an SME IPO mid-process frequently need to revise their fundraising targets upward to maintain the intended net proceed to the company.
The seven cost categories in an SME IPO
Category 1 — Merchant banker fees. The Book Running Lead Manager (BRLM) is the most significant single cost. SME IPO merchant banker fees range from ₹15-50 lakh depending on the issue size, the BRLM's track record, and the complexity of the transaction. Well-established merchant bankers with strong distribution networks for SME issues charge at the higher end. First-time or less-established merchant bankers may offer lower headline fees but their placement capability can affect listing performance.
Category 2 — Legal fees. Company legal advisors for SME IPOs charge ₹8-20 lakh for preparing the DRHP, managing regulatory correspondence, and advising on disclosure requirements. Registrar to issue legal review is separate and typically costs ₹2-5 lakh.
Category 3 — Registrar to issue fees. The Registrar handles application processing, allotment, and refund management. Fees run ₹3-8 lakh for a typical SME IPO.
Category 4 — Credit rating. Not mandatory for SME IPOs but recommended for debt-issuing companies. If required, ₹4-10 lakh.
Category 5 — Advertising and marketing. SEBI requires public announcement of the IPO in newspapers with wide circulation. Print advertisement costs for SME IPOs run ₹5-15 lakh. Digital marketing, investor roadshows, and broker outreach add a further ₹5-20 lakh depending on the company's geographic target.
Category 6 — Market maker. BSE SME and NSE Emerge require a compulsory market maker for every listed company for a minimum of 3 years post-listing. Market maker fees for this period run ₹5-15 lakh upfront plus annual fees.
Category 7 — Listing and exchange fees. Exchange listing fees are based on issue size and typically run ₹2-5 lakh. Annual listing fees post-IPO are ₹1-3 lakh per annum depending on market capitalisation.
The total cost at different issue sizes
For a ₹10 crore issue: all-in cost approximately ₹60-80 lakh — 6-8% of issue size.
For a ₹20 crore issue: all-in cost approximately ₹80-120 lakh — 4-6% of issue size.
For a ₹40 crore issue: all-in cost approximately ₹1-1.5 crore — 2.5-4% of issue size.
The percentage cost falls as issue size increases because most professional fees are fixed or semi-fixed — the merchant banker's fee does not double because the issue doubles. This is why SME IPOs below ₹10 crore are rarely economically sensible — the cost percentage becomes prohibitive.
What is not included in these estimates
The estimates above cover external professional and regulatory costs. They do not include:
Internal costs — management time, finance team time, and in some cases additional hires needed to manage the IPO process alongside business operations.
Pre-IPO restructuring costs — if the business needs to clean up its financial statements, resolve related-party transactions, or restructure its shareholding before the IPO, these costs are additional and can be significant.
Post-IPO ongoing costs — BSE SME and NSE Emerge listing creates annual compliance obligations: quarterly reporting, annual reports, shareholder communications, and statutory audits to listed company standards. Budget ₹15-25 lakh per annum for post-listing compliance.
The advisory fee question
SME IPO advisory — the firm that prepares the business for the process and co-originates the transaction — charges separately from the merchant banker. Advisory fees for SME IPO origination and preparation vary by firm and mandate.
