What is debt syndication and how does it work in India?

Eone Capital · Private Credit · 5 minute read

Debt syndication is the process of arranging structured debt capital for a business through a specialist advisor who assesses the credit story, structures the right instrument, and places the facility with one or more lenders. In India, this means working with banks, NBFCs, AIFs, and private credit funds — not just a single relationship bank. The advisor sits between the borrower and the lender, doing the work that a borrower cannot easily do alone: identifying the right lender, structuring the terms, and managing the process to close.

Most Indian businesses — particularly mid-sized manufacturers, real estate developers, and healthcare operators — underestimate how much of their difficulty in raising debt comes from approaching the wrong lenders with the wrong structure. Debt syndication solves both problems simultaneously.

How debt syndication works in practice

The process begins with a mandate assessment. A specialist debt advisor evaluates the business — its revenue profile, EBITDA, asset base, existing liabilities, and the specific capital requirement. This is not a formality. The assessment determines whether the business is placeable, at what ticket size, through which instrument, and with which category of lender.

Once the mandate is accepted, the advisor structures the facility. This is where the real work happens. A term loan from an NBFC has a different structure, tenure, and security requirement than a Non-Convertible Debenture placed with an AIF. The right instrument depends on the business profile, the use of funds, the repayment capacity, and the lender market at that point in time.

Lender placement follows structuring. The advisor approaches specific lenders — not every lender in the market — based on their current deployment appetite, sector expertise, and ticket size preferences. A private credit fund actively deploying in real estate construction finance is a very different conversation from a retail NBFC focused on MSME term loans. Getting this match right determines whether the process takes 30 days or 6 months.

The advisor then manages the process through term sheet negotiation, due diligence, documentation, and disbursement. This is where specialist advisors earn their fee — not in making introductions, but in managing a complex process that most borrowers have never navigated before.

When does a business need debt syndication?

Not every debt requirement needs a syndication advisor. A straightforward overdraft facility from your existing bank does not. But several situations consistently benefit from specialist advisory:

When the requirement exceeds what a single lender will provide. Large ticket sizes — typically ₹30 crore and above — often require either a single specialist lender or multiple lenders structured in a facility. An advisor knows which lenders are active at which ticket sizes.

When the business profile does not fit standard bank credit. Real estate developers, for example, frequently find that conventional banks are cautious about construction-stage lending. Private credit funds and AIFs have filled this gap — but most developers do not have direct relationships with them.

When the instrument needs to be structured rather than standard. Non-Convertible Debentures, mezzanine facilities, and structured credit solutions require specific structuring expertise. Getting the coupon, tenure, security package, and put/call options wrong creates problems at every stage.

When refinancing existing debt. Replacing an expensive legacy loan with a better-structured facility requires identifying the right replacement lender and managing the transition without disrupting business operations.

The private credit market in India

India's private credit market reached US$3.5 billion in H1 2026 alone, with over 100 transactions above ₹83 crore, according to EY India. Real estate leads deployment, followed by healthcare and food and beverage. Mid-sized transactions — between ₹83 crore and ₹500 crore — account for 61% of total deal value. This is the segment where specialist debt advisory creates the most value.

The market is active, the capital is available, and the lender pool has diversified significantly beyond banks and traditional NBFCs. For businesses that cannot access this capital through their existing relationships, specialist advisory is not optional — it is the only route.

Eone Capital arranges structured debt of ₹30 crore and above for real estate developers, MSME manufacturers, and healthcare operators across India.
