SME IPO Advisory

SME IPO advisory for BSE SME and NSE Emerge listings in India.

The Opportunity

India's SME public markets are the most active they have ever been.

268 SME IPOs listed in 2025, raising ₹12,111 crore — up from just 43 listings in 2015. NSE Emerge has seen 159 companies migrate to the mainboard since inception, demonstrating the pathway is proven and the investor appetite is real. India's SME IPO market is now one of the most active in the world.

SEBI's 2025 reforms have raised the quality bar — requiring positive EBITDA of ₹1 crore in at least 2 of the last 3 years. This is a market that now rewards profitable, well-governed businesses. That is precisely the profile we advise.

What We Do

IPO readiness. Pre-IPO preparation. Listing advisory.

We manage the full SME IPO process — from the first readiness conversation to listing day. Businesses that list with us are prepared to the standard the market now demands.

IPO Readiness Assessment

We assess the business against SEBI's current eligibility criteria — financial statements, EBITDA track record, promoter structure, related-party transactions, and governance standards. We give a clear verdict: ready, conditionally ready, or not ready — and why.

Pre-IPO Preparation

Businesses that are not immediately ready need structured preparation — restating financials where required, cleaning up governance, resolving compliance gaps, and building the financial narrative that will hold under SEBI and investor scrutiny.

Valuation & Market Advisory

We benchmark the business against listed peers on BSE SME and NSE Emerge — by sector, revenue scale, and EBITDA margin — and establish a realistic issue price range. Overpriced SME IPOs underperform on listing. Realistic valuation is the foundation of a successful issue.

Who Qualifies

Profitable businesses with a clear growth story.

PROFITABILITY

Positive EBITDA of ₹1 crore or more in at least 2 of the last 3 audited financial years. This is a SEBI requirement — and the minimum standard we evaluate against.

FINANCIAL STATEMENTS

Clean, audited financials for at least 3 years. No material related-party transactions that cannot be explained. No qualification in audit reports.

GOVERNANCE

Promoter shareholding clearly structured. No pending regulatory action or material litigation. Company secretarial compliance in order.

USE OF PROCEEDS

A specific, credible use of IPO proceeds tied to growth — capacity expansion, new locations, technology, or working capital for a defined expansion plan. Not promoter liquidity.

VALUATION EXPECTATIONS

Founders must approach the public markets with realistic valuation expectations grounded in listed peer comparables — not the private market multiples of 2021.
